These Website Terms of Use ("Terms") govern your access to and use of the website located at https://tells.co (the "Website"), which is operated by Tells, Inc., doing business as Tells.co ("Tells," "we," "us," or "our"). By accessing or using the Website, you ("you" or "Visitor") agree to be bound by these Terms. If you do not agree, do not access or use the Website.
1. Scope of These Terms
These Terms govern your use of the public Website only. They do not govern:
- Use of the Tells messaging platform, APIs, or related services (the "Services"), which are governed exclusively by a separate written Services Agreement between Tells and the customer using the Services.
- Receipt of text messages sent through the Tells platform, which is governed by the Tells Consumer Messaging Disclosure available on the Website.
If you are a Tells customer with an executed Services Agreement, that agreement controls your use of the Services and supersedes these Terms with respect to any conflict relating to the Services.
2. About Tells
Tells provides AI-powered SMS, RCS, and voice messaging services to business customers. The Website provides general information about Tells and its offerings. Nothing on the Website constitutes a binding offer to provide services, legal advice, or a guarantee of any particular outcome.
3. Permitted Use of the Website
Subject to your compliance with these Terms, Tells grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Website for your personal, informational, and non-commercial use. All other uses are prohibited unless expressly authorized in writing by Tells.
4. Prohibited Conduct
You agree not to, and not to permit any third party to:
- Use any robot, spider, scraper, crawler, or other automated means to access, monitor, copy, or extract content from the Website, except for legitimate search engine indexing in compliance with our robots.txt file;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Website;
- Probe, scan, or test the vulnerability of the Website or any related system or network, or breach or circumvent any security or authentication measures;
- Access the Website through any interface other than that provided by Tells;
- Upload, transmit, or distribute any virus, worm, malware, Trojan horse, or other malicious code through the Website;
- Frame, mirror, or otherwise incorporate the Website or any portion thereof into any other website or service without our prior written consent;
- Use the Website to transmit unsolicited communications, spam, or chain letters;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the Website in any manner that violates any applicable federal, state, local, or international law or regulation; or
- Use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party's use of the Website.

"Tells," "Tells.co," and the Tells logo are trademarks of Tells, Inc. All other trademarks, service marks, and trade names referenced on the Website are the property of their respective owners. Nothing on the Website grants, by implication, estoppel, or otherwise, any license or right to use any Tells trademark without our prior written permission.
You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, republish, download, store, or transmit any Website Content, except that you may temporarily store one copy of pages of the Website in your browser cache solely for personal, non-commercial use.
6. Submissions and Feedback
If you submit any comments, suggestions, ideas, feedback, questions, or other information to Tells through the Website (collectively, "Submissions"), you agree that:
- Submissions are non-confidential and non-proprietary;
- Tells has no obligation of confidentiality, express or implied, with respect to Submissions;

Your use of the Website is also governed by our Privacy Policy, available at https://tells.co/privacy, which is incorporated by reference into these Terms. The Privacy Policy describes how we collect, use, and disclose information about Visitors.
9. Disclaimer of Warranties
THE WEBSITE AND ALL WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TELLS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
TELLS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. TELLS MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY WEBSITE CONTENT.
ANY INFORMATION ON THE WEBSITE REGARDING TELLS' SERVICES, INCLUDING REGULATORY COMPLIANCE FEATURES, IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE OR A WARRANTY OF COMPLIANCE WITH ANY LAW OR REGULATION.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TELLS, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF TELLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TELLS' TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tells, its affiliates, and each of their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Website; (b) your violation of these Terms; (c) your violation of any applicable law or regulation in connection with your use of the Website; or (d) your violation of any rights of any third party in connection with your use of the Website.
12. Termination
Tells may suspend or terminate your access to the Website at any time, with or without cause and with or without notice. Upon termination, your right to use the Website will immediately cease. The provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5 (Intellectual Property), 6 (Submissions and Feedback), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution).
13. Governing Law
These Terms and any dispute arising out of or relating to these Terms or your use of the Website shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
Informal Resolution. Before filing any claim against Tells, you agree to attempt to resolve the dispute informally by sending a written notice describing the dispute to hello@tells.co. Tells will attempt to resolve the dispute through good-faith negotiation within thirty (30) days of receipt of your notice.
Binding Arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you are not a consumer, its Commercial Arbitration Rules). The arbitration shall be conducted by a single arbitrator in Cheyenne, Wyoming, or, at your election if you are a consumer, in the county where you reside. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND TELLS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS, TO PRESIDE OVER ANY FORM OF CLASS PROCEEDING, OR TO AWARD RELIEF TO OR ON BEHALF OF ANYONE OTHER THAN THE INDIVIDUAL PARTIES TO THE ARBITRATION. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, BUT THE REMAINDER OF THESE TERMS SHALL REMAIN IN FULL FORCE AND EFFECT.
Jury Trial Waiver. YOU AND TELLS EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE.
Injunctive Relief Carve-Out. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@tells.co within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
15. DMCA Notice
If you believe that any content on the Website infringes your copyright, please send a written notice to our designated agent at the address below containing the information required by 17 U.S.C. § 512(c)(3): hello@tells.co.
16. Geographic Scope
The Website is operated from the United States. Tells makes no representation that the Website is appropriate or available for use in any particular location. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.
17. Changes to These Terms
Tells may modify these Terms at any time by posting the revised Terms on the Website and updating the "Last Updated" date. Material changes will be effective thirty (30) days after posting. Your continued use of the Website after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Website.
18. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tells regarding your use of the Website.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver. Tells' failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms without Tells' prior written consent. Tells may assign these Terms at any time without notice.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
